1. Acceptance of Terms

By accessing or using the PDF Batch Editor desktop application, the website located at pdfbatcheditor.com, or any related services (collectively, the "Service") provided by Exis LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

We reserve the right to modify these Terms at any time. Changes become effective upon posting to this page. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Software License

PDF Batch Editor is licensed, not sold. Your use of the desktop application is governed by the End User License Agreement (EULA) presented during installation. In the event of any conflict between these Terms and the EULA, the EULA shall prevail with respect to the desktop application.

Subject to your compliance with these Terms and the EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to use the software for your internal business or personal purposes.

3. Subscription Terms

3.1 Pricing

The PDF Batch Editor annual subscription is priced at $96 per year per seat. Pricing is subject to change; however, any price increase will not take effect until your next renewal cycle. You will be notified of pricing changes at least 30 days before they take effect.

3.2 Auto-Renewal

Subscriptions automatically renew at the end of each annual billing cycle unless cancelled before the renewal date. You may cancel auto-renewal at any time through your account or by contacting us at exisllc@gmail.com. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for the remaining term.

3.3 Payment

All payments are processed securely through our authorized payment provider. You are responsible for providing accurate and up-to-date payment information. Failure to pay may result in suspension or termination of your license.

4. Free Trial

We offer a 14-day free trial of PDF Batch Editor. During the trial period:

  • You have access to full application functionality
  • A watermark is applied to all processed PDF output files
  • The "Overwrite" output mode is restricted
  • No payment information is required to begin the trial

At the end of the trial period, you must purchase a subscription to continue using the software. If you do not purchase a subscription, the application will revert to a restricted state and you will no longer be able to process files.

5. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble the software
  • Redistribute, sublicense, rent, or lease the software to third parties
  • Remove or alter any proprietary notices, labels, or watermarks
  • Use the software for any unlawful purpose or in violation of any applicable law
  • Attempt to circumvent license restrictions, trial limitations, or watermarking
  • Use automated means to access the website in a manner that exceeds reasonable use

6. Intellectual Property

All rights, title, and interest in and to the PDF Batch Editor software, the pdfbatcheditor.com website, and all associated content, trademarks, logos, documentation, and code are and remain the exclusive property of Exis LLC. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without prior written consent.

You retain all rights to the PDF documents you process using the software. We claim no ownership or license over your content.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

YOU USE THE SERVICE AT YOUR OWN RISK. WE STRONGLY RECOMMEND MAINTAINING BACKUPS OF ALL FILES BEFORE PROCESSING THEM WITH PDF BATCH EDITOR.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXIS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Exis LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another party.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

  • Your license to use the software is immediately revoked
  • You must cease all use of the software and delete all copies
  • Provisions that by their nature should survive termination (including Sections 6, 7, 8, 9, and 12) shall remain in effect

You may terminate your use of the Service at any time by uninstalling the software and discontinuing use of the website.

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices regarding your information.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey, United States, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with the EULA and Privacy Policy, constitute the entire agreement between you and Exis LLC with respect to the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
